Article
One: Name
This organization shall be called Washington State University Masters
Swim Club and hereafter may be referred to as WSU Masters.
Article
Two: Purpose and Objectives
2.1 To provide a balanced program
appealing equally to both fitness and competitive swimmers including
men and women, students, faculty/staff and community members.
2.2 To provide a lifelong fitness
environment through exercise and social activities.
2.3 To encourage and promote
improved physical fitness and a healthy lifestyle for all members.
2.4 To enhance fellowship and
camaraderie among WSU Masters swimmers.
2.5 To provide an environment
that foster improved competitive skills for members interested in
competivie swimming and triathlons.
Article
Three: Duration
The duration of WSU Masters shall be perpetual.
Article
Four: Membership
4.1 The following classes of
membership shall be recognized in the WSU Masters:
A. Individual Membership: Those persons, to be classified as students
who meet the requirements as stated in the bylaws for membership.
Will be eligible to vote in club business.
B. Associate Membership: Those persons to be classified as non-students
who meet the requirements as stated in the bylaws for membership.
Will not be eligible to vote in club business.
4.2 Application for membership
shall be in the form prescribed by the by-laws of the WSU Masters
and acceptance of membership shall bind such individuals to abide
by the Constitution, By-laws and rules of United States Masters
Swimming and WSU Masters.
4.3 All members, whether individual
or associate, must be currently registered members of United States
Masters Swimming.
4.4 WSU Masters is open to all
students regardless of race; religion; sex; age; color; creed; national
or ethnic origin; physical mental or sensory disability; marital
status; sexual orientationl and status as a Vietnam-era or disabled
veteran.
Article
Five: Jurisdiction
The WSU Masters shall have jurisdiction over the sport of Masters
Swimming as delegated to it as part of the Inland Northwest Local
Masters Swimming Committee of United States Masters Swimming (USMS).
Article
Six: Nonprofit and Financial
6.1 General: This organization
does not contemplate pecuniary gain or profit to the members thereof
and is organized solely for non-profit purposes.
6.2 Membership Dues: Student
dues will be set at a rate lower than that of associate members.
Dues will be collected each semester, and will be used to pay for
pool time and coaching expenses.
6.3 Fund Raising Acitivities:
the balance of the WSU Masters FS & A account will never be
allowed to be overdrawn.
6.4 Earnings: No part of the
property or earnings of WSU Masters shall be paid or distributed
to or inure to the benefit of any private individual member, officer
or participant of the organization except as approved by the Board
of Officers as reasonable reimbursement for goods or services rendered.
The WSU Masters shall not carry on any other activities not permitted
to be carried on by a Corporation exempt from the Federal Income
Tax under Section 501(c)(3) of the Internal Revenue Code of 1954
(or the corresponding provisions of any future United States Internal
Revenue Law) or by a corporation, contributions to which are deductible
under Section 170(c) of the Internal Revenue Code of 1954 (or the
corresponding provisions of any future United States Internal Revenue
Law).
6.5 Dissolution: Upon dissolution,
the net assets of the WSU Masters shall not inure to the benefit
of any private individual or corporation, but will be distributed
to either USMS, to be used exclusively for educational or charitable
purposes, or to any other corporation as may be described by the
WSU Masters Board of Directors, and which is exempt under Section
501(c)(3) of the Internal Revenue Code and to which contributions,
bequests and gifts are deductible under Section 170(c)(2), 2055(a)(92)
and 2522(a)(2) thereof. Such assets shall be distributed to such
501(c)(3) corporation, to be used exclusively for educational and
charitable purposes.
Article
Seven: Board of Officers
7.1 The affairs of the WSU Masters
shall be managed and directed by a Board of Officers consisting
of the President, Treasurer, Club Advisor, Mens and Womens
Team Captains, and the chairperson of each standing and special
committee. The number, qualifications, terms of office, manner of
election, time and place of meeting and powers and duties of the
Board are prescribed by the By-laws of the WSU Masters. None of
the Board members shall receive any compensation for service as
such, except that those expenses incurred or services rendered for
the carrying on of WSU Masters business which are approved by the
Board shall be reimbursed.
Article
Eight: By-Laws
8.1 The Board of Managers shall
operate under a set of By-laws consistent with this Constitution,
as shall be appropriate to the conduct of the affairs of the WSU
Masters.
8.2 The by-laws of the WSU Masters
may be altered, amended, or repealed as the purposes of the WSU
Masters may require by the following procedure:
A. Proposed amendments must be submitted in writing to the Secretary
who shall notify the President so that discussion on the proposal
can be scheduled for the next appropriate Board meeting. The Secretary
shall also send copies of the proposed amendment to members of the
Board for review before the meeting at which it will be discussed.
B. At the Board meeting, the member who proposed the amendment shall
present that amendment to the Board for discussion and vote. Proposed
amendments shall be approved by simple majority of a quorum of the
Board of Officers. If a quorum is not present, the Board may decide
to send a ballot to the other Board members for their vote or retain
the issue on the agenda for the next Board of Officers meeting.
Article
Nine: Constitutional Amendments
This constitution may be altered, amended, or appealed in whole
or in part by the same procedure as for the By-laws set forth in
article 8.2.
Article
Ten: Standing Rules and Policies
10.1 Conduct of WSU Masters
meets will be governed by the rules and policies consistent with
the current USMS rule book and the sanction from the local masters
swimming committee.
10.2 Changes to the standing
rules and policies can be made through the same procedure as for
the By-laws and Constitution.
