Team Bylaws

1.0 Membership
1.1 Individual Membership: Membership is open to all Washington State University and University of Idaho full and part-time students 18 years of age and older. Membership dues are broken into three semesters each calendar year. A one week trial period will be allowed before required payment of dues. Dues will be prorated if membership does not coincide with the beginning of the semester. All members must be currently registered members of United States Masters Swimming.
1.2 Associate Membership: Membership is open to all men and women 18 years of age and older. Associate members may be Washington State University faculty, staff, or members of the greater community. Membership dues are broken into three semesters each calendar year. A one week trial period will be allowed before required payment of dues. Dues will be prorated if membership does not coincide with the beginning of the semester. All members must be currently registered members of United States Masters Swimming.

2.0 Board of Officers
2.1 Membership of the Board of Officers: The Board of Officers shall consist of the President, Treasurer, Club Advisor, Men’s and Women’s Team Captains, and the chairperson of each standing and special committee. Members of the Board of Officers must be Individual Members, Associate Members may not hold office on the Board of Officers.
2.2 Duties of the Board of Officers: The Board shall be responsible for: determining the direction and focus of the organization; executing the fiscal expenditures of the organization; determining the yearly activities schedule; and conducting the business of the organization on behalf of its members. The Board shall also establish those standing and special committees it requires to conduct the organization's business.
2.3 Board of Officers Meetings: Meetings shall be held at least once annually (usually in the Spring) and may coincide with general membership meetings. Minutes will be recorded for these meetings. Meetings will be open to all members.
2.4 Voting: Each Individual Member of the Board of Managers will have one vote on each issue. Unless otherwise stated in the By-Laws or Constitution, a quorum will be 50 percent of the recognized individual members, and a simple majority of any quorum will decide the action on an issue. In the case of a tie, the issue shall be considered defeated.
2.5 Board of Officers Action Without a Meeting: The WSU Masters President may occasionally confer between meetings with other board members—via letter, phone, or email—to discuss a given situation pertaining to WSU Masters and act according to the consensus of all members of the Board. Any business done without a meeting must be reviewed at the next Board meeting.

3.0 Officers - Elections and Duties
3.1 Terms and Election Method: The WSU Masters President, Treasurer, and the Men’s and Women’s Team Captains shall be elected by the Individual Members of WSU Masters to a one year term. Any Individual Members may offer nominations for any office. Only registered Individual Members may be nominated. They shall be voted on by secret or public ballot with winners determined by a simple majority vote of the members casting ballots. Elections shall normally be held every spring, at the annual membership meeting. Interim vacancies in any office shall be filled as stipulated in Article 4.7.
3.2 WSU Masters President: The WSU Masters President must be a current full or part-time student of Washington State University. The Predsident will represent and vote on behalf of WSU Masters on the Inland Northwest Masters Local Masters Swimming Committee board of directors.
3.3 WSU Masters Treasurer: The WSU Masters Treasurer must be a current full or part-time student of Washington State University. A non-student co-treasurer may also be appointed by the WSU Masters president to assist and advise the Treasurer. The Treasurer shall receive all monies and pay all bills accrued within the normal operations of the club. Any unusual expenditures must by approved by a simple majority vote of the Board of Officers. The Treasurer shall maintain books detailing the financial transactions of the club and prepare a report summarizing those transactions to the Board of Officers whenever the board meets. In addition the Treasurer shall work in preparing an annual budget for the club. The proposed budget shall be submitted to the Board of Officers for review two weeks prior to the annual budget meeting held in April or May, and shall include expected expenses, revenues and a recommended fee schedule.
3.4 WSU Masters Team Representatives: WSU Masters Representatives include but are not limited to: Student Representative, Men’s and Women’s Team Captains. Each representative shall have one vote on each issue voted upon by the Board. In case a designated representative is unable to attend a Board meeting, a substitute representative may be appointed for that meeting.
3.5 Vacancies of Offices: Any vacancy of a WSU Masters office, with the exception of President, shall be filled by appointment by the Board. A 2/3 majority of the Board shall be required to ratify that appointment.
3.6 WSU Masters Club Advisor: The WSU Masters Club Advisor must be a current member of the faculty or staff of Washington State University.
3.7 Head Coach: A head coach will be selected by the Board of Officers and shall serve at their pleasure. The main duty is to create and run workouts for all members. In addition, the head coach will work with University officials to secure pool time for all of the swims, competitions, and clinics that are organized by the club. The head coach will be paid for hours spent on the pool deck coaching or doing clinics. The rate of pay will be set by the Board of Officers, and will be reviewed annually along with a performance review. Other head coach duties might include but are not limited to: recruiting of members, maintaining membership and swimming records, and working with the treasurer to collect dues and process membership registration.
The head coach may swim with the club when not scheduled to coach, and may do so without paying membership dues. The head coach must be a currently registered member of United States Masters Swimming.
3.8 Assistant Coaches: assistant coaches will be hired by the head coach, and will serve under him/her. Duties will include running workouts, and processing payments and membership registrations. The rate of pay will be set by the Board of Officers. Assistant coaches may swim with the club when not scheduled to coach, and may do so without paying membership dues. The assistant coaches must be a currently registered member of United States Masters Swimming.

4.0 WSU Masters Standing Committees
4.1 General: Both standing and ad hoc committees shall be established to carry out various aspects of the WSU Masters business under the direction of the Board of Officers. Committees shall be staffed by registered WSU Masters swimmers, but may also include individuals from outside the WSU Masters.
4.2 Standing Committees: Standing committees shall be permanently established by the Board of Officers as necessary to conduct the WSU Masters business. WSU Masters standing committees shall include, but not be limited to: Social Activities, Meets, Finance.
4.3 Special Committees: Special committees shall be temporarily established by the Board of Officers as necessary to conduct the WSU Masters business.

5.0 Membership Meetings
There shall be a general membership meeting held annually in the spring semester, at which point the Board of Officers are selected for the following academic year. Special membership meetings can also be convened by the Board of Officers as required. All members shall be notified in writing of any such meetings at least 10 days in advance.

6.0 Dissolution of the WSU Masters
Dissolution of the WSU Masters can be affected by a majority vote of the membership acting on a recommendation of 2/3's of the current Board of Officers.

7.0 By-Laws Amendment
The WSU Masters By-Laws can be amended in accordance with Article 8 of the WSU Masters Constitution. Such an amendment can be proposed by any duly registered WSU Masters member(s).
